Proper Invoice Requirements in Manitoba

Section 85 of The Builders' Liens Act sets Manitoba's proper-invoice requirements. A proper invoice starts the owner's 28-day payment and 14-day dispute periods when given to the owner. Manitoba has no seven-day deemed-proper-invoice rule.

What the invoice must contain
Include the contractor's name and address; invoice date and supply period; the authority under which the work or materials were supplied; a description and quantity of work and materials, including subcontracted supply; the amount payable and payment terms; and the name, title, telephone number and mailing address of the payment recipient. Section 85 also allows prescribed information; the current regulation adds no further invoice particulars.
Record the contract and any contractual invoice requirements. The owner-invoice date must be preserved separately from a lower-tier invoice's issue or receipt date.
Submission and revision
Section 86 requires monthly proper invoices unless the contract provides otherwise. Under section 87, prior certification or approval cannot generally be made a condition of giving a proper invoice, subject to the testing and commissioning exception.
Section 88 permits agreed revisions when the invoice still satisfies the statutory requirements and its date is not changed. Section 89 permits a subcontractor to request when the contractor gave the owner its proper invoice.
Scope and delivery
Part I.1 applies to contracts or subcontracts entered into on or after April 1, 2025, subject to the exclusions in sections 3 and 80. Professional fees described in section 36 are excluded from this Part.
M.R. 113/2024 section 1.2 governs giving notices and other documents under Part I.1: personal delivery, ordinary mail with fifth-day deemed receipt, or an electronic method agreed to in writing by the recipient with electronic confirmation of sending. Keep that evidence; an upload alone is not proof of valid delivery.

Section 85 does not impose Alberta's express proper-invoice statement requirement. It does require the listed information, and any applicable contractual requirements must also be checked.
